Valor Energy raises $5 million to fund planned Youngstown AI data center
Editorial illustration — Press Pass USAValor Energy Inc. has raised approximately $5 million to support its planned AI data center in Youngstown, the company announced Monday, in a financing step that follows its earlier agreement to acquire a computing center in the city.
The Nasdaq-listed company said it entered into a securities purchase agreement on October 19 with certain investors for a private placement of 2,145,923 shares of common stock at $2.33 per share, for aggregate gross proceeds of about $5.0 million before offering expenses.
The proceeds are intended primarily to fund the proposed acquisition — $3.6 million in consideration, subject to adjustment, for the entity holding the computing center at 1911 Logan Avenue in Youngstown — and the initial stages of converting the roughly 30,890-square-foot facility into an AI data center for AI and high-performance computing workloads. The site holds 18 megavolt-amperes of power capacity under an existing 23-kilovolt interconnection with Ohio Edison, the company said.
“We intend to use the proceeds from this financing primarily toward the proposed Youngstown acquisition and the initial stages of its planned conversion into an AI data center,” said Dave Nichols, a strategic advisor to Valor Energy, noting that completion remains subject to closing conditions and sufficient funding.
The company cautioned that completion of the acquisition remains subject to due diligence and other closing conditions, “and there can be no assurance that it will be completed on the terms described or at all.” After the $3.6 million purchase price, the raise leaves limited capital for design, construction, equipment and permitting, and Valor has flagged that further funding may be needed.
