Trian-led group offers $1.4 billion to take Wendy's private
Editorial illustration — Press Pass USAAn investor group led by Nelson Peltz's Trian Fund Management has offered $7.35 a share in cash — about $1.4 billion — to take Dublin-based Wendy's private, a non-binding proposal the burger chain's board is now reviewing.
The group, which also includes restaurant operator Flynn Group and investment firms BlueFive Capital and Sixth Street Partners, offered a price roughly 20% above Wendy's closing price of $6.14 on Tuesday. Shares jumped about 15% in premarket trading Wednesday after the Wall Street Journal first reported the offer, closing in on $7.05.
Trian and its affiliated investors already own about 31 million shares — roughly 16.25% of the company — and would roll that stake into the new private structure, according to the group's proposal, which was disclosed in a securities filing. The rest of the cash would come from equity provided by the partners, with formal commitment letters to follow if a definitive agreement is reached.
Wendy's said an independent committee of its board will review the unsolicited proposal with the help of financial and legal advisers, and that shareholders do not need to take any action at this time. The company plans to share more about its plans and financial performance during its third-quarter earnings call on November 5.
The bid follows years of Trian involvement in Wendy's strategy and governance — the firm previously explored taking the company private in 2022 before abandoning the idea the following year. The chain, founded by Dave Thomas in Columbus in 1969 and now headquartered in Dublin with more than 7,000 restaurants worldwide, has reported slumping sales, net income and earnings per share as costs rise, and its stock is down nearly 25% so far this year. Trian argues the company needs significant investment to revive its business while managing upcoming debt repayments, and that private ownership would give it more time and capital to execute a turnaround away from public-market pressure.
